By registering for, accessing, browsing, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any additional policies or guidelines we may publish or communicate from time to time (collectively, the “Agreement”).

If you do not agree with any provision of this Agreement, you must not use or access the Platform.

This Agreement applies exclusively to individuals who are residents or citizens of the European Union (EU), European Economic Area (EEA), Switzerland, or the United Kingdom. Users located outside of these jurisdictions are subject to a different set of terms and policies, which can be found on the relevant regional pages of our website.

The Favor Platform is a social networking and lifestyle matchmaking service that facilitates digital introductions and communications between individuals seeking mutually beneficial, respectful, and lawful relationships. We aim to provide a premium, secure, and curated environment for adult users who are interested in exploring meaningful social connections.

Favor does not facilitate or tolerate any form of illegal activity, including but not limited to escort services, prostitution, human trafficking, or any other conduct that violates applicable local, national, or international laws. Any such use of the Platform is strictly prohibited and will result in immediate termination of access, potential reporting to relevant authorities, and, where appropriate, legal action.

By using the Platform, you represent and warrant that:

• You have the legal capacity to enter into binding contracts.
• You will comply with all applicable laws and the provisions of this Agreement.

By registering an account with Favor or by accessing or using any portion of the Platform, you represent, warrant, and covenant that you meet all of the following conditions:

Synopsis:

By using Favor, you confirm that you are at least 18 years old and legally able to enter into this Agreement. Favor reserves the right to verify your eligibility and may suspend or terminate your account if you do not meet these requirements.

3.1 Registration Obligations

To access certain features of the Platform, you are required to create a personal user account (“Account”) by completing the designated registration process and submitting truthful, accurate, and complete information as prompted. You agree to provide and maintain updated registration data at all times and acknowledge that the submission of false, misleading, or incomplete information constitutes a material breach of this Agreement.

By creating an Account, you affirm that you are acting on your own behalf and not as an agent, proxy, or representative of any third party. Each individual is permitted to register only one (1) Account. The creation or operation of multiple Accounts by a single User is strictly prohibited and may result in suspension or permanent termination.

Favor reserves the absolute right to refuse or cancel any registration, or to reclaim usernames, without prior notice, where such registration is deemed to be in violation of these Terms, applicable laws, or the integrity of the Platform.

3.2 Account Credentials and Security Measures

Upon successful registration, you will be required to select or be provided with login credentials, including a username and password, which must be treated as confidential. You are solely and fully responsible for maintaining the confidentiality and security of your Account credentials, and for all activities, transactions, and communications that occur under your Account, whether or not authorized by you.

You agree to:

• Refrain from disclosing your credentials to any third party.
• Implement reasonable measures to prevent unauthorized access, including using strong and unique passwords.
• Promptly notify Favor in the event of any unauthorized access, suspected breach, or security compromise relating to your Account.

Favor shall not be liable for any loss, damage, or liability arising from your failure to maintain the security of your Account or from any unauthorized access resulting therefrom.

3.3 No Transferability

Your Account is personal to you and may not be assigned, transferred, sublicensed, or otherwise made available to any third party, whether for commercial gain or otherwise. Any attempt to transfer or allow others to access your Account shall constitute a breach of this Agreement and may result in immediate termination.

3.4 Monitoring and Enforcement

Favor may, but is under no obligation to, monitor any aspect of Account creation, login activity, or user conduct to ensure compliance with these Terms. We reserve the right, at our sole discretion, to suspend, deactivate, or permanently terminate any Account that:

• Appears to be fraudulent or unauthorized.
• Is associated with activity in breach of this Agreement.
• Is deemed to compromise the safety, integrity, or lawful use of the Platform.

In such cases, we may delete or anonymize any associated data, and you shall not be entitled to any refund or compensation, except as may be required by applicable law.

4.1 Subscription-Based Access

Access to certain functionalities, content, or features of the Platform may require the purchase of a paid subscription (“Subscription”). By electing to subscribe, you agree to pay the applicable fees for the selected Subscription plan, inclusive of any taxes or charges imposed by relevant authorities, as disclosed to you at the point of purchase.

Subscription offerings, durations, and associated pricing tiers are made available at the sole discretion of Favor and are subject to modification, enhancement, or discontinuation at any time, without prior notice, provided that such changes shall not affect existing subscriptions already purchased, except in accordance with the termination or renewal clauses contained herein.

4.2 Automatic Renewal and Recurring Billing

Unless otherwise stated in writing at the time of purchase, all Subscriptions are offered on an automatically renewing basis. By enrolling in a Subscription, you authorize Favor (or its authorized third-party payment processor) to charge your designated payment method the applicable recurring fee at the interval specified (e.g., monthly, quarterly, annually), without the need for further consent, until such Subscription is cancelled in accordance with these Terms.

Your obligation to pay Subscription fees continues until cancellation is properly effectuated under Section 4.4. You expressly acknowledge and accept responsibility for all recurring charges prior to cancellation.

4.3 Payment Processing and Authorization

All financial transactions related to Subscriptions are processed via secure third-party payment service providers. By submitting your payment information, you represent and warrant that you are legally authorized to use the designated payment method and that the information you provide is true, accurate, and complete.

Favor disclaims any liability for errors or breaches committed by third-party processors, but shall provide reasonable support to address payment-related inquiries where permitted by law.

In the event of failed or declined transactions, Favor reserves the right to suspend or terminate your access to the Subscription-based features until valid payment is received.

4.4 Cancellation and Refund Policy

You may cancel your Subscription at any time via your account settings or by following the cancellation process outlined on the Platform. Upon cancellation, your access to premium features shall remain valid until the conclusion of the current billing cycle. STRICTLY NO REFUNDS OR PRORATED CREDITS SHALL BE ISSUED FOR PARTIAL USE, DOWNGRADE OF FEATURES, OR EARLY TERMINATION, except where required by applicable consumer protection laws or statutory rights.

If you are a resident of a jurisdiction where statutory cooling-off periods or mandatory refund provisions apply, you may be entitled to a refund if cancellation is requested within the prescribed time frame under local law.

4.5 Fee Changes and Notices

Favor reserves the right to modify Subscription fees or introduce new charges for access to any part of the Platform. In the event of any upward adjustment to Subscription fees for active plans, Favor shall provide you with advance notice in accordance with applicable laws. If you do not consent to the revised fees, your sole remedy shall be to cancel your Subscription prior to the effective date of the new billing cycle.

Continued use of the Subscription service following any such adjustment shall constitute your agreement to the modified pricing.

5.1 General Conduct Obligations

As a condition of your access to and use of the Platform, you hereby agree to use the Platform in a lawful, respectful, and appropriate manner. You shall not engage in any conduct or activity that, in the sole discretion of Favor, violates these Terms or undermines the integrity, security, reputation, or lawful use of the Platform by others.

You agree that your use of the Platform shall at all times comply with:

• All applicable international, national, and local laws, regulations, and ordinances.
• The terms and conditions of this Agreement and any policies incorporated herein by reference.
• Any additional guidelines or instructions issued by Favor through the Platform.

5.2 Prohibited Uses

You are strictly prohibited from, and you agree not to engage in, any of the following activities:

• Illegal or Unauthorized Use: Using the Platform to promote, solicit, facilitate, or participate in any illegal activity, including but not limited to PROSTITUTION, ESCORTING, HUMAN TRAFFICKING, OR THE EXCHANGE OF MONEY, GIFTS, OR SERVICES FOR SEXUAL CONDUCT.
• Harassment and Abuse: Engaging in any form of abusive, threatening, harassing, defamatory, discriminatory, or otherwise offensive behavior toward other users, staff, or third parties.
• Fraud and Misrepresentation: Creating false identities, impersonating others, submitting inaccurate or misleading information, or otherwise misrepresenting your identity, background, or intentions.
• Commercial Exploitation: Using the Platform for COMMERCIAL SOLICITATION, ADVERTISING, RECRUITMENT, AFFILIATE MARKETING, OR ANY FORM OF UNAUTHORIZED PROMOTIONAL ACTIVITY, WHETHER FOR FINANCIAL GAIN OR OTHERWISE.
• Data Harvesting and Exploitation: Collecting, scraping, mining, or attempting to extract data or personal information from the Platform or other users without express authorization.
• Circumvention and Unauthorized Access: Gaining or attempting to gain unauthorized access to other accounts, bypassing security mechanisms, or interfering with the normal functionality of the Platform.
• Malicious Activity: Introducing viruses, malware, or other harmful code, disrupting server or network functionality, or engaging in any activity that imposes an unreasonable or disproportionate load on our infrastructure.

5.3 User Content and Interactions

You are solely responsible for any content, messages, images, or other materials (“User Content”) that you upload, post, transmit, or otherwise make available through the Platform. You represent and warrant that such content does not violate any applicable law, infringe any third-party rights, or otherwise breach this Agreement.

Favor does not actively monitor all User Content or interactions, but reserves the right, in its sole discretion, to review, edit, remove, or block access to any content or user conduct that it deems to be in violation of these Terms or detrimental to the Platform.

5.4 Enforcement and Remedies

Violation of this Acceptable Use Policy may result in, without limitation:

• Immediate suspension or termination of your account without notice.
• Removal of prohibited content.
• Referral to law enforcement or regulatory authorities.
• Civil or criminal liability, where applicable.

Synopsis:

Favor retains sole discretion in determining whether conduct or content violates these Terms. Enforcement decisions are final and not subject to appeal unless otherwise mandated by applicable law.

6.1 Ownership of User Content

You retain all rights, title, and interest in and to the photographs, profile information, messages, text, images, videos, and other content or materials (“User Content”) that you submit, upload, post, display, transmit, or otherwise make available through the Platform, subject to the limited license rights granted herein.

Favor does not claim ownership of your User Content; however, by submitting such content to the Platform, you grant Favor the rights set forth below to the extent necessary to operate, improve, promote, and protect the Platform and its legitimate interests.

6.2 License Grant to Favor

By posting, uploading, or otherwise providing User Content on or through the Platform, you hereby grant Favor a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, transferable, irrevocable license to use, reproduce, store, host, display, modify, adapt, publish, translate, distribute, and create derivative works from such User Content in any format or medium now known or hereafter developed, solely for the purpose of:

• Operating and maintaining the Platform.
• Marketing, promoting, or enhancing the user experience (excluding private messages).
• Enforcing these Terms and any applicable policies.
• Complying with applicable laws, subpoenas, or legal obligations.

This license shall remain in effect for as long as your content is available on the Platform and shall survive the termination of your account to the extent that the content has been shared with or copied by other users, retained for legitimate business purposes, or archived for compliance with legal obligations.

6.3 Representations and Warranties

You represent and warrant that:

• You are the sole and exclusive owner of all User Content you post, or that you have obtained all necessary rights, licenses, consents, and permissions to grant the license described in this Section.
• Your User Content does not infringe, misappropriate, or violate any third-party rights, including intellectual property rights, privacy rights, or contractual obligations.
• Your User Content complies with applicable law and does not contain any unlawful, offensive, defamatory, or obscene material.

Favor assumes no responsibility for the accuracy, legality, or appropriateness of any User Content, and disclaims any and all liability in connection therewith.

6.4 Monitoring and Removal

While Favor's under no obligation to pre-screen or actively monitor User Content, it reserves the right, at its sole discretion and without notice, to remove, block, or restrict access to any User Content that it deems to be in violation of these Terms, applicable law, or any policy referenced herein, or that may otherwise be harmful, offensive, or inappropriate in the context of the Platform.

Favor also reserves the right to suspend or terminate the accounts of users who repeatedly or egregiously violate content standards.

7.1 Ownership of Platform Content

Except for User Content as defined in Section 6, all elements of the Platform, including but not limited to all text, graphics, logos, button icons, images, audio clips, video content, editorial content, software, code, scripts, databases, visual interfaces, and the design, structure, coordination, selection, expression, and arrangement thereof (collectively, “Platform Content”), are the proprietary property of Favor or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You acknowledge and agree that Favor and/or its affiliates, partners, and licensors retain all legal right, title, and interest in and to the Platform Content, including all associated intellectual property rights, whether registered or unregistered.

7.2 License to Use the Platform

Subject to your continued compliance with these Terms, Favor grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform and its content for your personal, non-commercial use only. This license is provided solely to enable your use and enjoyment of the Platform as intended by Favor and permitted under these Terms.

EXCEPT AS EXPRESSLY PERMITTED HEREIN, YOU MAY NOT, AND YOU SHALL NOT ALLOW ANY THIRD PARTY TO:

• COPY, REPRODUCE, MODIFY, CREATE DERIVATIVE WORKS FROM, DISTRIBUTE, DISPLAY, PUBLISH, LICENSE, SELL, OR OTHERWISE EXPLOIT ANY PLATFORM CONTENT WITHOUT PRIOR WRITTEN AUTHORIZATION FROM Favor.
• REVERSE ENGINEER, DECOMPILE, DISASSEMBLE, OR OTHERWISE ATTEMPT TO EXTRACT SOURCE CODE FROM ANY PORTION OF THE PLATFORM OR ITS SOFTWARE.
• USE ANY AUTOMATED SYSTEM OR SOFTWARE TO EXTRACT DATA, SCRAPE, OR INDEX ANY PORTION OF THE PLATFORM.
• REMOVE, OBSCURE, OR ALTER ANY PROPRIETARY NOTICES OR LEGAL MARKINGS DISPLAYED IN CONNECTION WITH THE PLATFORM CONTENT.

Any unauthorized use of the Platform or its content shall constitute a breach of this Agreement and may result in the suspension or termination of your access, and may further subject you to civil or criminal liability.

7.3 Trademarks

All trademarks, service marks, trade names, logos, and trade dress used or displayed on the Platform, including but not limited to the name Favor, are proprietary to Favor or its affiliates and may not be used, copied, or imitated, in whole or in part, without the express prior written permission of Favor. Nothing in this Agreement shall be construed as granting any license or right to use any trademark displayed on the Platform without such permission.

You may not use any metatags or other “hidden text” utilizing Favor’s name or trademarks without the prior written consent of Favor.

8.1 Termination by Favor

Favor reserves the right, in its sole and absolute discretion, to restrict, suspend, deactivate, or permanently terminate your access to the Platform, your Account, or any part thereof at any time and for any reason, including but not limited to:

• Violation or suspected violation of these Terms or any incorporated policy.
• Conduct that may expose Favor or its users to legal liability, reputational harm, or regulatory scrutiny.
• Suspected fraud, misuse, or unauthorized use of the Platform.
• Requests by law enforcement or regulatory authorities.
• Extended periods of inactivity or abandonment of your Account.

Such action may be taken with or without prior notice, and you hereby acknowledge and agree that Favor shall not be liable to you or to any third party for any such suspension or termination.

8.2 Termination by You

You may terminate your Account at any time by accessing your account settings or submitting a written request to our customer support team, subject to identity verification procedures. Termination shall be effective upon completion of the process, following which your access to the Platform and all associated features will be discontinued.

You understand and agree that termination of your Account does not entitle you to a refund of any fees paid, unless expressly required by applicable law or stated otherwise in our Refund Policy. Any outstanding obligations or liabilities under these Terms shall survive termination to the extent necessary to enforce such rights.

8.3 Effect of Termination

Upon termination of your Account for any reason:

• Your license to access and use the Platform shall immediately cease;
• Any User Content you have submitted may, at Favor discretion, be retained, removed, or anonymized.
• Favor may, but is not obligated to, delete any data or content associated with your Account.
• You remain responsible for any accrued obligations or fees prior to termination, including payment for Subscriptions that remain active until the end of the billing cycle.

Favor shall not be liable for the preservation or loss of your data following termination and disclaims any obligation to provide data export services unless required by applicable data protection laws.

8.4 Survival

Any provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to ownership provisions, intellectual property rights, warranty disclaimers, indemnity obligations, and limitations of liability.

9.1 No Warranty of Platform Availability or Accuracy

The Platform, including all content, materials, features, services, and functionalities provided therein, is offered on an “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Favor EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and the accuracy, completeness, or reliability of any content or services provided through the Platform.

Favor makes no representations or warranties:

• That the Platform will operate uninterrupted, timely, secure, or error-free.
• That the Platform or any content made available through it is free from viruses, malware, or other harmful components.
• Regarding the outcomes of your use of the Platform, including but not limited to personal relationships, compatibility, or user behavior.

9.2 User Assumption of Risk

You acknowledge and agree that your use of the Platform, including your communication and interaction with other users, is undertaken at your sole risk. Favor does not screen, verify, endorse, or guarantee the conduct, identity, intentions, authenticity, or background of any user or third party. You are solely responsible for exercising appropriate caution, discretion, and judgment when using the Platform and engaging with others, both online and offline.

Favor expressly disclaims any responsibility for actions taken by users both within and outside of the Platform.

9.3 Limitation of Liability

To the fullest extent permitted by law, in no event shall Favor, its affiliates, licensors, directors, officers, employees, agents, or representatives be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages, including but not limited to:

• Loss of profits, data, goodwill, or other intangible losses.
• Personal injury or emotional distress arising out of or in connection with the use of or inability to use the Platform.
• Unauthorized access to or alteration of your transmissions or data.
• Statements or conduct of any third party on the Platform.
• Any matters beyond Favor’s reasonable control.

This limitation of liability applies regardless of whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory, even if Favor has been advised of the possibility of such damages.

9.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, the liability of Favor shall be limited to the maximum extent permitted by law, and no provision of this Section shall operate to limit any liability which cannot legally be excluded or limited.

10.1 General Indemnity

You agree to defend, indemnify, and hold harmless Favor, its parent companies, subsidiaries, affiliates, licensors, service providers, and its and their respective officers, directors, shareholders, employees, agents, contractors, representatives, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, demands, proceedings, losses, liabilities, damages, judgments, settlements, costs, and expenses (including, without limitation, reasonable attorneys’ fees and legal costs) arising out of or related to:

• Your use of, or access to, the Platform.
• Your breach or alleged breach of these Terms or any applicable law or regulation.
• Any content you submit, post, transmit, or otherwise make available through the Platform, including but not limited to User Content.
• Your interaction with other users of the Platform, whether online or offline.
• Any misrepresentation made by you to Favor or other users.
• Your violation of any rights of a third party, including but not limited to intellectual property rights, publicity rights, or privacy rights.

10.2 Defense and Control

Favor reserves the right, at its sole discretion and expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such an event, you agree to fully cooperate with the Indemnified Parties in asserting any available defenses and in all aspects of the legal proceedings, negotiations, or settlements.

10.3 Continuing Obligation

Your indemnification obligations under this Section shall survive the termination or expiration of this Agreement and your use of the Platform, and shall apply to claims arising both during and after the period of your use of the Platform.

11.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies expressly incorporated by reference, constitute the entire agreement between you and Favor with respect to your use of the Platform and supersede all prior or contemporaneous communications, representations, understandings, or agreements, whether oral or written.

11.2 No Waiver

The failure of Favor to exercise or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Favor.

11.3 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under any applicable law or by a competent court, such provision shall be deemed severable from the remainder of the Terms and shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect.

11.4 Assignment

You may not assign, delegate, or otherwise transfer any of your rights or obligations under these Terms without the prior written consent of Favor. Any purported assignment or delegation in violation of this clause shall be null and void. Favor may freely assign or transfer its rights and obligations without restriction or notice to you.

11.5 Force Majeure

Favor shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, acts of governmental authorities, war, terrorism, civil unrest, labor disputes, pandemics, or interruptions in internet or utility services.

11.6 Relationship of the Parties

Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or employment relationship between you and Favor. You agree that you have no authority to bind Favor in any respect.

11.7 Language and Interpretation

These Terms are written in English and shall be interpreted in accordance with the laws governing this agreement. Headings are for reference purposes only and shall not affect the construction or interpretation of any provision herein.

12.1 Liability Limitations

Favor DOES NOT EXCLUDE OR LIMIT ANY LIABILITY FOR GROSS NEGLIGENCE, INTENT, OR DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE OR WILLFUL MISCONDUCT.

As a European or United Kingdom consumer, if Favor causes damage to you, liability will be limited to foreseeable damages arising due to a breach of material contractual obligations typical for this type of agreement. Favor is not liable for damages resulting from a non-material breach of any other applicable duty of care. This limitation of liability will not apply to any statutory liability that cannot be limited, to liability for death or personal injury caused by our negligence or willful misconduct, or to exclude our responsibility for something we have specifically promised to you.

12.2 Assignment of Agreement

As a European or United Kingdom consumer, Favor may assign this agreement, and any rights and licenses granted under it, to a third party. In the event of such an assignment, you are entitled to terminate the Agreement immediately by deactivating your account. Favor will provide you with reasonable notice of any such assignment, through methods such as email or app notifications.

Favor may provide you with notices, including those regarding changes to this Agreement, using any reasonable means known or hereafter developed, including by email, regular mail, or app notifications. Such notices may not be received if you violate this Agreement by accessing the service in an unauthorized manner. You agree that you are deemed to have received any and all notices that would have been delivered had you accessed the service in an authorized manner.

Synopsis:

If we make any changes or need to notify you, we’ll ensure to inform you using reasonable communication methods.

This Agreement is subject to change by Favor at any time. If you are a non-subscribing member at the time of any change, the revised terms will be effective when posted on the Platform. Your continued use of the service after such posting will constitute acceptance of the revised Agreement. If you are a subscribing member at the time of any change, and to the extent permitted by applicable law, the then-existing Agreement will continue to govern your membership until your renewal (whether by you or automatically). If you continue your membership after the renewal, you will be deemed to have accepted the revised Agreement. Alternatively, if you terminate your subscription, your use of the service after termination will constitute acceptance of the then-existing Agreement.

Synopsis:

When we revise this Agreement, depending on your status (non-subscribing or subscribing), you may be subject to different terms (old or new) for a period of time.
